Placing to Raise £ 1.54 million
London and New York, 5 June 2015 - Amphion Innovations plc (LSE: AMP) ("Amphion" or the "Company"), the developer of medical and technology businesses, is pleased to announce that the Company has raised £1,538,840 (before expenses) by the issue of 29,311,230 new ordinary shares of 1p each in the capital of the Company (the "New Ordinary Shares") at an issue price of 5.25 pence per New Ordinary Share (the “Placing”). The New Ordinary Shares represent approximately 14.91 per cent of the Company’s enlarged issued share capital. The Placing, which was oversubscribed, was undertaken by Northland Capital Partners Limited and the issue price of 5.25 pence represents a 22.4 per cent. discount to the Company’s 10 day average closing price.
The net proceeds of the Placing will provide working capital for the Company, as well as enable the Company to invest in current Partner Companies, restructure its existing debt, and support DataTern’s patent litigation programmes.
Application will be made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM (“Admission”). The New Ordinary Shares will, when issued, rank equally in all respects with the existing Ordinary Shares. It is expected that Admission will become effective and that dealings in the New Ordinary Shares will commence on 10 June 2015.
Following the Admission of the 29,311,230 New Ordinary Shares, the Company will have 196,620,573 ordinary shares in issue with each ordinary share holding one voting right.
